For nearly 20 years Steve Pampush has been counseling clients in the area of private investment funds, from managers of hedge, private equity, real estate and other private funds, to wealth advisors, high net worth investors, family offices and technology firms.
Because Steve began his career in commercial litigation, where he developed a deep understanding of the benefits of preventative lawyering, he brings a unique perspective to negotiating and structuring transactions, navigating regulatory compliance and drafting agreements. Steve’s goal since shifting his practice into the private funds space has been to employ this targeted experience to provide comprehensive counsel to clients, giving them an edge in a highly competitive market by recognizing and avoiding legal, regulatory and commercial pitfalls.
As a partner in our New York office, Steve focuses his practice on the representation of investment management firms, onshore and offshore investment fund structuring and formation, and general corporate matters. Steve also counsels clients in connection with sales of investment advisors and wealth management firms. As part of his practice, Steve regularly provides investment managers with advice on seeding arrangements and other capital formation; fund marketing; regulatory compliance, including registration and other regulatory issues under the federal securities and commodities laws; partner and employee compensation arrangements; internal governance; and structuring and negotiating portfolio investment transactions. Steve also advises family offices and other private investors with respect to alternative investment opportunities, managed accounts, co-investments and joint ventures.
