It’s about minimizing transactional and tail risk without maximizing transaction costs.

On behalf of our private equity fund clients, we serve as transactional counsel for portfolio company acquisitions and dispositions, paying particular attention to the management and control issues, as well as the payment stream, waterfall and exit provisions that often prove most critical in protecting a private equity fund’s ownership interests and financial returns.  We also have extensive experience in the arena of cross-border transactions, particularly in Asia where we have developed close working relationships with local attorneys in key Southeast Asian markets.

  • Advise on the purchase and sale of various corporate assets, including preparing asset purchase agreements, stock purchase agreements and ancillary documentation
  • Assist clients in negotiating investor rights and other stakeholder agreements
  • Advise on potential investment risks and considerations
  • Assist with transfers between investors in various alternative investment funds
  • Prepare filings on Schedule 13D and Schedule 13G, and advise clients regarding “group” activities under Section 13D of the Securities and Exchange Act of 1934 (“Exchange Act”)
  • Prepare filings on Forms 3, 4 and 5 and advise clients on short swing profits under Section 16 of the Exchange Act
  • Advise on the winding down of investment funds
  • Assist with loan facilities in connection with the acquisition of various assets, including commercial real estate and multi-use developments
  • Advise clients engaging with the United States Overseas Private Investment Corporation, the International Finance Corporation and other development finance institutions
  • Negotiate and advise clients with respect to various operational credit facilities, including capital commitment lines of credit, subscription financing facilities, and working capital facilities
